Wall Street English Hong Kong (“WSEHK”) NFT terms and conditions
NFT CAMPAIGN
Only the Wall Street English Hong Kong General English course students (“GE Students”) are eligible to join this campaign. GE Students (“Participating GE Students”) who have attended at least 1 Encounter Class, 1 Complementary Class and 1 Social Club Activity during the period between 16th March 2022 and 15th April 2022 (both dates inclusive) will be invited to join the quiz game. Each of the first 5 Participating GE Students who answers all questions correctly will win a WSEHK NFT.
The 5 winners of our WSEHK’s first NFT campaign will receive the NFTs (“NFT Prize(s)”) below (following the sequence of giving correct answers to all questions in the quiz game):

WSEHK#0002 | The Owner of this NFT Prize is entitled to attend four IELTS classes provided by WSEHK for free in each calendar year starting from 2022 until 31st December 2031. The owner is responsible for contacting WSEHK by 1st December of each year to redeem the free classes, and after 31st December, the owner will be permitted to redeem their prizes again. If the Owner transfers this NFT Prize after starting the course, the transferee will not be entitled to the free classes in the relevant transfer calendar year. |
WSEHK#0003 | The Owner of this NFT Prize is entitled to attend four Business English lessons provided by WSEHK for free in each calendar year starting from 2022 until 31st December 2031. The owner is responsible for contacting WSEHK by 1st December each year to redeem the free classes, and after 31st December, the owner will be permitted to redeem their prizes again. If the Owner transfers this NFT Prize after starting the course, the transferee will not be entitled to the free lessons in the relevant transfer calendar year. |
WSEHK#0004 | The Owner of this NFT Prize is entitled to attend 4-hour 1-on-1 Business English VIP lesson provided by WSEHK for free in each calendar year starting from 2022 until 31st December 2031. The owner is responsible for contacting WSEHK by 1st December each year to redeem the free lessons, and after 31st December, the owner will be permitted to redeem their prizes again. If the Owner transfers this NFT Prize after starting the course, the transferee will not be entitled to the free lessons in the relevant transfer calendar year. |
WSEHK#0005 | The Owner of this NFT Prize is entitled to attend four DSE lessons provided by WSEHK for free in each calendar year starting from 2022 until 31st December 2031. The owner is responsible for contacting WSEHK by 1st December each year to redeem the free classes, and after 31st December, the owner will be permitted to redeem their prizes again. If the Owner transfers this NFT Prize after starting the course, the transferee will not be entitled to the free lessons in the relevant transfer calendar year. |
WSEHK reserves the right to ask the owner to provide evidence to authenticate his ownership of the NFT and its judgment is final.
REDEEMING THE NFT
To accept the NFT Prize, the winner will be required to open a digital wallet that is compatible with the Polygon Network (a “Wallet”) on OpenSea’s platform. The use of the Wallet and any NFT marketplace shall be governed by the applicable terms and conditions of the relevant site and platform. The winner may need to use a credit card or via one or more cryptocurrencies that the marketplace may accept from time to time if a transfer or transaction is engaged. WSEHK’s duty is discharged after transferring the NFT prize to the winner’s designated Wallet. WSEHK has no control over the sites and platforms that hold the Wallet or the NFT prize and will not guarantee the security of those sites and platforms. The winner is advised to read the privacy policy of such sites and platforms carefully on how his/her data may be used in any given way. WSEHK will not be held accountable to the winner or to any third party that may arise as a result of any transactions that he/she engages in via the OpenSea platform or otherwise via the Polygon Network or other networks or platforms.
RISKS ASSOCIATED WITH NFT
The NFT prizes are transferable but the prices of NFTs are extremely volatile and subjective. WSEHK does not guarantee that any NFT prize awarded in connection with this campaign will obtain or retain value, as the value of digital collectibles is inherently subjective, and factors occurring outside of WSEHK’s control may materially impact the value and desirability of any particular NFT. Besides, gas fees (or transaction costs) will be incurred when a transaction is conducted. The gas fee will depend on the price of the transaction cryptocurrency and can fluctuate a lot. There is no guarantee that the sale price (if any) can be enough to cover the gas fee, in which case the owner will suffer a loss, and WSEHK will not be accountable for the losses in the value of the NFTs.
OWNERSHIP OF THE DIGITAL COLLECTIBLE NFT AND RISK
After transferring the NFT Prizes to the winners, WSEHK shall retain all rights, title and interest in the underlying artwork in the NFT Prizes. The winners will become owners of the relevant NFT Prizes and their underlying digital collectible, but such ownership is subjected to the limited license in and to the underlying artwork (the “Artwork”) in the digital collectible. WSEHK hereby grants each winner who is awarded an NFT Prize a worldwide, non-exclusive, perpetual, royalty-free license to use and display the Artwork in connection with the digital collectible and accordance with the terms set forth herein. If the owner transfers the NFT Prize, such license shall automatically be assigned to any subsequent transferee of such NFT Prize. All rights to the Artwork are hereby expressly reserved by WSEHK. The owner’s right to transfer the NFT Prize to a third party is conditioned upon, inter alia, to the transferee’s acceptance of the rules set out in the terms and conditions herein.
Each winner that agrees to such shall not be authorized or permit any third party to, do or attempt to do any of the following without WSEHK’s consent of any form in any case: (a) modify or duplicate the Artwork in any way, including, without limitation to, the shapes, designs, drawings, attributes, or color schemes; (b) use the Artwork to advertise, market, or sell any product or service; (c) use the Artwork in any other forms of media, except to the limited extent that such use is solely for the winner’s own personal and non-commercial usage; (d) attempt to trademark, copyright, or otherwise acquire additional intellectual property rights in or to the Artwork; or (e) create other NFTs which are related to this campaign. Each winner will acknowledge that WSEHK has not set any limit on the number of NFTs and WSEHK reserves the right to create more of the same digital collectible (in its current form with or without modification of any sort).
In any case of dispute, the decision of WSEHK shall remain final.
These Terms and Conditions have been translated into Chinese. If there is any inconsistency or ambiguity between the English version and the Chinese version, the English version shall prevail.
